CinéDel Labs Corp (“CinéDel Labs”), a 501(c)(3) non-profit corporation, operates and maintains this website at www.cinedel.org to provide information to the public about our mission and programs supporting education, mentorship, and community for underserved filmmakers. Throughout the site, the terms “we,” “us,” and “our” refer to CinéDel Labs.

CinéDel Labs offers this website, including all information, tools, and services available from this site (collectively, the “Website”) to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here, and in connection with any other legal agreements by and between you and CinéDel Labs that reference these terms or the Privacy Policy. Before using the Website, you are required to read, understand, and agree to these Terms & Conditions (also referred to herein as the “Terms”).

ACCEPTANCE OF TERMS:

By accessing or using the Website, or by clicking to accept or agree to the Terms when this option is made available to you, you affirm that you are of legal age to enter into a binding agreement and that you abide in the United States or one of its territories or possessions. You also agree to comply with these Terms and any applicable laws and regulations. Your continued use of this Website signifies acceptance of these Terms & Conditions. CinéDel Labs Corp is based in the state of California, in the United States of America, and offers its services to those based in the United States. We provide this Website for use only by persons located in the United States, its territories, or possessions, unless otherwise specifically indicated. We make no claims that the Website or any of its Content is accessible or appropriate outside of the United States. If you access the Website from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

WEBSITE DESCRIPTION:

This Website is dedicated to providing film education, mentorship, and community through virtual online courses for emerging and mid-career filmmakers based in the United States. It is not intended for minors, especially under the age of 13.

WEBSITE ACCESS AND ACCOUNT SECURITY:

We reserve the right to withdraw or amend this Website, including any service or material we provide as part of the Website, in our sole discretion without notice. We will not be liable if, for any reason, all or any part of the Website is unavailable at any time or for any period.

From time to time, we may restrict access to some parts of the Website, or the entire Website, to users, including registered users. You are responsible for making all arrangements necessary for you to have access to the information you need from this Website. We may update the Content on this Website from time to time, but its Content is not necessarily complete or up-to-date. Any of the material on the Website may be out of date at any given time, and we are under no obligation to update such material.

To access the Website, or some of the resources it offers, you may be asked to provide certain registration details or other information. Details requested include, but are not limited to, first and last name, email address, phone number, physical address, and credit card information (when applicable). All content on the Website, including but not limited to music, videos, photography, illustrations, graphics, and text, is owned by CinéDel Labs or its licensors. This content is protected by copyright, trademark, and other intellectual property laws.

These Terms grant you a limited, revocable, non-transferable, and non-exclusive license to use the Website for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any of the material on our Website, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials;

  • You may store files that are automatically cached by your web browser for display enhancement purposes;

  • You may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use and not for further reproduction, publication or distribution;

  • If we provide social media features in connection with certain content on this Website, you may take such actions as are enabled by such features.

Any use of the Website not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark and other laws.

EMAIL CORRESPONDENCE:

Emails sent to any “@cinedel.org” email address are considered our property. You can read more about this in our Privacy Policy. If you wish to remain anonymous, please specify this in the body of the email itself and we will do our best to respect your wishes.

TRADEMARKS:

CinéDel Labs Corp’s legal name, its logo and all related names, logos, product and service names, designs and slogans are trademarks of CinéDel Labs or its affiliates or licensors. You must not use such marks without the prior written permission of CinéDel Labs, except in a manner constituting “fair use.” All other names, logos, product and service names, designs and slogans on this Website are the trademarks of their respective owners.

PROHIBITED USES:

You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to use the Website:

  • In any way that violates any applicable federal, state, local or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries);

  • To transmit, or procure the sending of, any advertising or promotional material, without our prior written consent, including any "junk mail", "chain letter" or "spam" or any other similar solicitation;

  • To impersonate or attempt to impersonate CinéDel Labs, a CinéDel Labs employee, another user or any other person or entity (including, without limitation, by using e-mail addresses or screen names associated with any of the foregoing); and/or

  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Website, or which, as determined by us, may harm the CinéDel Labs or users of the Website or expose them to liability.

  • Use the Website in any manner that could disable, overburden, damage, or impair the Website or interfere with any other party's use of the Website, including their ability to engage in real time activities through the Website;

  • Use any robot, spider or other automatic device, process or means to access the Website for any purpose, including monitoring or copying any of the material on the Website;

  • Use any manual process to monitor or copy any of the material on the Website or for any other unauthorized purpose without our prior written consent;

  • Use any device, software or routine that interferes with the proper working of the Website;

  • Introduce any viruses, trojan horses, worms, logic bombs or other material which is malicious or technologically harmful;

ONLINE FILM LAB APPLICATION AND PARTICIPATION FOR UNDERSERVED IRANIAN-AMERICAN FILMMAKERS:

The following policies apply only to users that are applying to the Online Film Lab services, offered by CinéDel Labs, through the Website. If you are a general user, browsing the Website, these policies do not apply.

Eligibility: Participation in CinéDel Labs’ online film lab is open exclusively to self-identified Iranian-American filmmakers. Applicants must provide complete and accurate information demonstrating their eligibility as part of the application process. Acceptance into the lab is at the sole discretion of CinéDel Labs. All submissions are subject to a $35 administrative fee. Please do not send a check in the mail for this administrative fee; CinéDel Labs will notify you of how to remit the administrative fee during the application process. Submission of an application does not guarantee enrollment, and all administrative fees remitted during the submission process are non-refundable.

Guest Speakers: CinéDel Labs may invite guest speakers to present their experience and expertise to the selected cohort. Guest speaker views and opinions are their own and do not necessarily reflect those of CinéDel Labs.

Participant Conduct: Accepted and enrolled participants agree to engage respectfully and professionally during all live sessions, events, and interactions. Harassment, discrimination, or disruptive conduct may result in removal from the lab.

Intellectual Property Rights of Participants:

  • Participants retain copyright to their own submitted works, scripts, pitches, or presentations. Any use of participant-submitted material for purposes beyond the cohort sessions (including public sharing, publication, or promotion) that is not included in the licensing agreement terms required at enrollment will require the separate, explicit permission of the creator.

  • By participating, cohort members grant CinéDel Labs a nonexclusive license to use session content (excluding participant-submitted works) for nonprofit educational and outreach purposes, with appropriate credit given to speakers and participants. More information regarding this license will be provided to cohort members upon enrollment, and they must affirmatively agree to the terms of the license as a material term for participation.

  • Participants and guest speakers may not redistribute or repurpose any session materials outside of the stated program usage without prior written authorization from all relevant parties.

Program Changes: CinéDel Labs reserves the right to modify the curriculum, speakers, schedule, or format of the film lab as needed. Participants will be notified of substantive changes.

PAID SERVICES AND OFFERINGS:

CinéDel Labs offers a variety of educational film courses and programs. Please note that only some of these courses require payment of a registration or attendance fee. Details about fees and payment requirements for each course will be clearly stated during the course registration process. Free courses and resources may also be available as part of our commitment to accessibility and community support.

Payment and Registration:

  • Payment in full is required before access to any paid course is granted.

  • Accepted payment methods will be specified during registration.

Refund Policy:

  • Partial refunds may be provided under certain circumstances, at the sole discretion of CinéDel Labs. Once the course has started, no full refunds will be issued, but partial refunds may be granted based on the portion of the course remaining and any administrative costs incurred.

  • Requests for partial refunds must be submitted in writing and are considered on a case-by-case basis at CinéDel Labs’ discretion.

  • If CinéDel Labs cancels a course, full refunds will be issued to all enrolled participants.

  • No refunds will be provided for missed sessions or incomplete participation.

CODE OF CONDUCT:

  • Participants are expected to behave respectfully during online sessions.

  • Harassment, discrimination, or disruptive behavior will not be tolerated and may result in removal from the course without refund.

  • Participants must respect all intellectual property rights and confidentiality of course materials and discussions.

RELIANCE ON INFORMATION POSTED:

Information and content on the Website and courses are provided for general informational purposes only. Accuracy or completeness is not guaranteed, and your use of materials is at your own risk. CinéDel Labs disclaims liability for errors or omissions to the fullest extent permitted by law.

THIRD-PARTY LINKS:

The Website may include links to third-party websites. CinéDel Labs is not responsible for third-party content or privacy practices. Linking does not imply endorsement. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY:

You understand that we cannot and do not guarantee or warrant that files available for downloading from the Internet or the Website will be free of viruses or other destructive code. COOPERATION WITH LAW ENFORCEMENT AND REGULATORY BODIES:

We have the right to fully cooperate with any law enforcement authorities, regulatory agencies, or court order requesting or directing us to disclose the identity or other information of anyone sharing information with us through the Website.

YOU WAIVE AND HOLD HARMLESS CINÉDEL LABS AND ITS AFFILIATES, LICENSEES AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY CINÉDEL LABS AND/OR ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER CINÉDEL LABS OR SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

MODIFICATIONS AND TERMINATION:

  • We may modify or discontinue the Website, courses, or any portions without prior notice.

  • Changes to these Terms will be posted on the Website; continued use after updates signifies acceptance.

GOVERNING LAW AND JURISDICTION:

All matters relating to the Website and/or these Terms are governed by California and United States law, without giving effect to any choice or conflict of law provision or rule.

Legal actions must be brought exclusively in Los Angeles, California county courts, although we retain the right to bring any suit, action or proceeding against you for breach of these Terms in your country or county of residence, or any other relevant country or county, and you consent to such jurisdiction. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

DISPUTE RESOLUTION:

  • You agree to first attempt to resolve any dispute arising out of or related to these Terms or your use of the Website informally through good faith negotiations. If unresolved within 30 days, you agree to submit the dispute to confidential mediation administered by a mutually agreed-upon mediator.

  • If mediation fails to resolve the dispute, the matter shall be resolved by binding arbitration held in Los Angeles, California, conducted under the rules of the American Arbitration Association (AAA). Arbitration costs shall be shared equally unless the arbitrator orders otherwise.

  • Either party may seek interim injunctive or equitable relief in court prior to arbitration if necessary to preserve rights or prevent harm.

  • All proceedings, filings, and outcomes shall remain confidential and not be disclosed except as required by law or agreed in writing.

LIMITATION ON TIME TO FILE CLAIMS:

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

WAIVER AND SEVERABILITY:

No waiver by CinéDel Labs of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of CinéDel Labs to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

ENTIRE AGREEMENT:

These Terms, and our Privacy Policy and any related terms of sale or registration in which these Terms or Privacy Policy are referenced, constitute the sole and entire agreement between you and us with respect to the Website and services provided through the Website, and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Website.

CHANGES TO THE TERMS:

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Website thereafter. However, any changes to the dispute resolution provisions set forth in GOVERNING LAW AND JURISDICTION will not apply to any disputes for which the parties have actual notice prior to the date the change is posted on the Website.

Your continued use of the Website following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page from time to time so that you are aware of any changes, as they are binding on you. A printed version of these Terms and of any notices given to you in electronic form or otherwise shall be admissible in judicial or administrative proceedings based upon or relating to these Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
